SRI FITNESS + WELLNESS CENTER RELEASE, WAIVER, AND INDEMNITY AGREEMENT

I hereby request to use the SRI Fitness + Wellness Center, including its health and fitness-related training, programs, classes, and activities that may be offered on or off premises (collectively, “Fitness Center”), that are made available to employees of SRI International (“SRI”), Advantage Resourcing’s Contractors, and employees of an SRI Tenant. An “SRI Tenant” is a company that has entered into a lease agreement with SRI for office space located at SRI’s Menlo Park campus. In consideration for permission to use the Fitness Center, I agree as follows:

1. I have voluntarily chosen to use the Fitness Center. I am aware that my use of the Fitness Center may be potentially hazardous and that there are possibilities of injury or other complications, including but not limited to illness, accidents, falls, contact with other participants, musculoskeletal injuries, cardiovascular trauma, neurological impairment, heart attack, or death. I understand that I am using the Fitness Center with knowledge of the danger involved.
2. I understand and agree that SRI, Advantage Resourcing, and BaySport, Inc. are not responsible and may not be held liable in any way for any harm, injury, death, or other damage (including to my person and property) that may occur as a result of my use of the Fitness Center. I hereby personally assume any and all risks associated with my use of the Fitness Center for any harm, injury, death, or other damage.
3. I will indemnify, release, and hold harmless SRI, Advantage Resourcing and BaySport, Inc., their directors, officers, agents, employees, subcontractors, and clients from any and all claims, demands, actions, or causes of action seeking recovery for damages to the property of any person or injury to any person (including myself) arising out of my use of the Fitness Center. I agree that this obligation to indemnify, release, and hold harmless shall not be diminished or eliminated even if the damages or injury are the result of SRI, Advantage Resourcing, and/or BaySport, Inc's negligence or the negligence of their directors, officers, agents, employees, subcontractors, or clients, and that this obligation shall not be diminished or eliminated even if liability without fault is imposed or sought to be imposed.
4. I acknowledge that SRI, Advantage Resourcing, and BaySport, Inc. have strongly recommended that I consult with my physician before engaging in any activities at the Fitness Center to ensure that I am free of any medical conditions that may affect my ability to safely exercise or otherwise use the Fitness Center. If I do not seek my physician’s approval before utilizing the Fitness Center, or if I do not comply with my physician’s recommendations regarding these activities, I acknowledge that I am doing so at my own risk.
5. I will follow all safety rules and requirements established for the Fitness Center and the instructions or directions of SRI representatives including, but not limited to, SRI COVID 19 safety protocols. I understand that my failure to comply with these provisions may result in SRI limiting or revoking my permission to use the Fitness Center.
6. I understand that Fitness Center personnel will not always be present during the Fitness Center’s open hours. I understand that the assumption of risk and indemnification and release provisions set forth above apply equally to my use of the Fitness Center at such times.
